Koi Pharma Dealer Shipping Terms

1. Overview

These Dealer Shipping Terms apply to all wholesale and dealer purchases made from Koi Pharma (“Company,” “we,” “our,” or “us”).

By placing a wholesale order, the dealer (“Dealer,” “you,” or “your”) agrees to the terms outlined below.

2. Order Processing

  • Dealer orders are typically processed within 1–5 business days

  • Processing times may vary based on order volume, inventory availability, and seasonal demand (including koi shows and promotional periods)

  • Large or bulk orders may require additional processing time

Koi Pharma reserves the right to prioritize orders at its discretion.

3. Minimum Order & Shipping Eligibility

  • Dealer orders must meet minimum order requirements as outlined in your dealer agreement

  • Orders that do not meet minimum thresholds may be delayed or canceled

4. Shipping Methods & Carriers

Koi Pharma ships dealer orders using trusted carriers, including:

  • UPS

  • FedEx

  • Freight carriers (for pallet or bulk shipments)

Shipping method is determined based on:

  • Order size and weight

  • Destination

  • Cost efficiency and delivery reliability

5. Freight Terms (VERY IMPORTANT)

Unless otherwise agreed in writing:

  • All dealer orders are shipped FOB Origin (Shipping Point)

  • Ownership and risk transfer to the Dealer once the shipment leaves our facility

This means:

  • The Dealer assumes responsibility for the shipment in transit

  • Any loss, delay, or damage must be addressed with the carrier

6. Shipping Costs

  • Shipping costs are calculated and added to the invoice unless otherwise specified

  • Free shipping programs (if offered) are subject to promotional terms and may be modified or discontinued at any time

7. Delivery Timeframes

Estimated delivery times:

  • Standard Ground: 2–7 business days

  • Freight shipments: Varies by location and carrier

Delivery dates are estimates only and are not guaranteed.

8. Damaged or Lost Shipments

A. Damaged Shipments

Dealers must:

  • Inspect all shipments upon delivery

  • Note any visible damage on the carrier’s delivery receipt

  • Notify Koi Pharma within 48 hours of delivery

  • Provide photos of damage and packaging

Failure to report within this timeframe may result in denial of claims.

B. Lost Shipments
  • Dealers are responsible for filing claims directly with the shipping carrier for lost shipments

  • Koi Pharma will assist with documentation if needed

 

9. Shipping Address Accuracy

Dealers are responsible for providing accurate shipping information.

  • Koi Pharma is not responsible for delays or losses due to incorrect addresses

  • Additional fees may apply for address corrections, rerouting, or reshipment

10. Split Shipments & Backorders

  • Orders may be shipped in multiple shipments depending on product availability

  • Backordered items will be shipped once available unless otherwise requested

  • Additional shipping charges may apply unless agreed upon in advance

11. Pallet & Freight Deliveries

For large shipments:

  • Dealer must ensure appropriate facilities for delivery (loading dock, forklift, or personnel)

  • Liftgate service may incur additional charges

  • Missed deliveries or re-delivery requests may result in additional fees

 


 

12. Refused Shipments

If a Dealer refuses a shipment:

  • The Dealer is responsible for all shipping and return freight costs

  • A restocking fee may apply

13. Non-US Dealer Orders

  • Dealers are responsible for all customs duties, taxes, and import regulations

  • Koi Pharma is not responsible for delays due to customs clearance

 

14. Order Changes & Cancellations

  • Changes or cancellations must be requested within 24 hours of order placement

  • Once an order has shipped, it cannot be modified or canceled
